RETRO KICK OFF – WHOLESALE TERMS & CONDITIONS

These Wholesale Terms & Conditions (“Wholesale Terms”) apply to all wholesale purchases made from Retro Kick Off (“Retro Kick Off”, “we”, “us” or “our”), including Introductory Wholesale Bundles, WhatsApp Wholesale Bundles, Handpick Wholesale orders and any other goods supplied by us on a wholesale basis.

By placing a wholesale order, the purchaser (“Buyer”) confirms that they are purchasing wholly or mainly for purposes relating to their trade, business or resale activity and agrees to be bound by these Wholesale Terms.

1. WHOLESALE ELIGIBILITY

Our wholesale service is intended for businesses, traders and commercial resellers.

By placing a wholesale order, the Buyer confirms that the goods are being purchased wholly or mainly for business or resale purposes and not as a consumer.

We reserve the right to refuse, cancel or restrict access to our wholesale service where we reasonably believe that a Buyer is misusing the service, attempting to circumvent our wholesale requirements or has provided materially inaccurate information.

2. AUTHENTICITY – VAR CHECK

Retro Kick Off sells authentic football shirts.

All shirts supplied through our wholesale service are authenticated in-house using our VAR Check authentication process before being approved for sale.

Our authentication process considers characteristics relevant to the individual shirt, which may include manufacturer labels, product codes, construction, materials, stitching, badges, detailing and other appropriate authenticity indicators.

If a Buyer has a genuine concern regarding the authenticity of an item received, they must contact us promptly and provide photographs and sufficient information for us to investigate the item.

The authenticity of an underlying shirt and the originality of any nameset, number, patch or other subsequent customisation are treated separately unless expressly stated otherwise.

Nothing in these Wholesale Terms excludes any liability which cannot lawfully be excluded.

3. CONDITION & GRADING

All shirts are individually inspected and graded in-house by Retro Kick Off.

Our condition rating is based on an overall assessment of the shirt, taking into account factors including age, general wear, fabric condition, badges, sponsors, printing, pulls, marks and other signs of previous use.

For the purposes of our wholesale service:

Grade A – 8/10 or above
Very good overall condition. As the majority of our stock consists of previously worn football shirts, Grade A does not mean new, mint or flawless. Minor signs of age, previous wear or small cosmetic imperfections may still be present.

Grade B – 6/10 to 7/10
Good, wearable condition but with more noticeable signs of age, wear or one or more identifiable imperfections.

Grade C – 5/10 or below
Items with more significant wear, damage or defects and which may require repair, restoration or cleaning.

Any significant damage or material defect identified during our inspection will be reflected in the item's condition rating and, where the item is individually listed, will be noted and/or photographed as appropriate.

Condition ratings are determined in-house following inspection of each individual item. Grading necessarily involves a degree of judgement, and minor differences of opinion regarding condition do not, by themselves, mean that an item has been incorrectly graded.

4. INTRODUCTORY WHOLESALE BUNDLES

Our Introductory Wholesale Bundles are designed to allow new wholesale customers to experience the range and quality of Retro Kick Off stock before moving to our ongoing wholesale services.

Unless expressly stated otherwise, all shirts supplied within Tier 1–4 Introductory Wholesale Bundles are Grade A (8/10 or above).

The advertised composition of an Introductory Bundle applies only to that specific introductory product.

Certain Introductory Bundles may contain a substantially higher proportion of Vintage shirts than is available through our ongoing wholesale programme.

For example, selected Tier 1 Introductory Bundles may contain approximately 20 Vintage shirts within a 30-shirt bundle.

This enhanced Vintage allocation is a feature of the introductory offer only and does not establish an entitlement, precedent or guaranteed stock allocation for any subsequent wholesale order.

Introductory Bundles are intended as a one-off introductory purchase. We reserve the right to limit the availability of Introductory Bundles to the same Buyer, business, associated business, individual or delivery address.

Future wholesale orders are subject to the stock availability, composition requirements and Vintage limits applicable to the wholesale service being used at the time of purchase.

Sizing – Introductory Bundles

Unless otherwise stated, Introductory Bundles will contain adult shirts ranging from XS to XXL. All shirts are sold as adult-sized stock.

Bundles may occasionally include XL Youth shirts where their measurements and overall fit are comparable to an Adult XS. For the purposes of bundle composition, these may be classified and supplied as Adult XS due to the similarity in sizing.

No particular distribution or quantity of each size is guaranteed unless expressly stated in the bundle description or agreed in writing.

Bundle Reservation Period

Once a proposed wholesale bundle has been prepared and made available for review, the bundle will be reserved for the Buyer for 48 hours from the time the viewing link is sent.

If confirmation of purchase is not received within this period, Retro Kick Off reserves the right to release the bundle and make the stock available for sale elsewhere. Any extension to the reservation period is at Retro Kick Off’s discretion.

5. WHATSAPP WHOLESALE BUNDLES

From time to time, Retro Kick Off may offer additional wholesale bundles through its official WhatsApp wholesale group.

WhatsApp Wholesale Bundles are separate from our Introductory Wholesale Bundles and Handpick Wholesale service and do not necessarily follow the same condition, composition, sizing, Vintage allocation or other stock requirements applicable to those services.

The contents, condition and composition of each WhatsApp Wholesale Bundle may vary and will be reflected in the description, photographs, information and pricing provided when the bundle is offered.

Unless expressly stated otherwise, WhatsApp Wholesale Bundles are not guaranteed to consist exclusively of Grade A (8/10 or above) stock and may include shirts showing greater signs of previous wear or minor imperfections consistent with pre-owned football shirts.

Any significant or material defects identified by Retro Kick Off will be disclosed where appropriate.

WhatsApp Wholesale Bundles are offered as fixed bundles unless expressly stated otherwise. Buyers cannot request substitutions, exchanges or alterations to the contents of a bundle.

Bundle prices are fixed and are not subject to negotiation unless expressly stated otherwise by Retro Kick Off.

Where more than one Buyer expresses an interest in a WhatsApp Wholesale Bundle, Retro Kick Off will generally offer the bundle to the first Buyer to respond privately in accordance with the instructions provided with the bundle. A bundle is not considered sold until the purchase has been confirmed and any required payment has been completed.

Buyers are responsible for reviewing the information and photographs provided for the specific bundle before confirming their purchase.

By purchasing a WhatsApp Wholesale Bundle, the Buyer acknowledges and accepts the bundle on the basis of the description, photographs, condition information and other details provided at the time it is offered.

6. DEFINITION OF VINTAGE

For the purposes of our wholesale service and calculation of bundle composition, Retro Kick Off defines a Vintage shirt as a shirt from a season before 2010.

Shirts from 2010 onwards are treated as Modern stock for the purposes of our wholesale programme.

This classification is used specifically for the operation of our wholesale service and does not necessarily represent a universal definition of the term “vintage”.

Definition of Top League / International

Top 5 League % refers to clubs competing in the top domestic divisions of England, France, Germany, Italy and Spain.

Classification is based on the season represented by the shirt, rather than the club's current league status. For example, a West Ham United shirt from a season in which the club competed in the Premier League would qualify as a Top 5 League shirt, whereas a West Ham shirt from their 2011–12 Championship season would not.

This may also include internationally recognised clubs outside the Top 5 leagues, particularly those with a significant domestic or European history, such as Celtic, Rangers, Ajax, PSV Eindhoven, Feyenoord, Porto, Benfica, Sporting CP, Boca Juniors, River Plate and Galatasaray. It may also include senior national teams that regularly compete in major international tournaments, including the FIFA World Cup, UEFA European Championship and Copa América.

These definitions are used solely for calculating wholesale bundle composition and do not guarantee the resale value or desirability of individual shirts.

7. HANDPICK WHOLESALE SERVICE

Order Quantity

Handpick Wholesale orders are fixed at 50 shirts per order.

Orders of fewer or more than 50 shirts are not permitted unless expressly agreed otherwise by Retro Kick Off in writing.

All orders are subject to stock availability and the other requirements of the Handpick Wholesale service.

Condition

Unlike our Tier 1–4 Introductory Wholesale Bundles, Handpick items are not guaranteed to be Grade A.

The condition grade of Handpick items may vary according to the individual product selected.

Buyers are responsible for reviewing the individual product photographs, condition rating, description and any identified defects before selecting an item.

By purchasing an individually listed item through the Handpick service, the Buyer acknowledges the condition information and photographs provided on the product listing at the time the order is placed.

8. HANDPICK VINTAGE LIMIT

Handpick Wholesale orders are limited to 50 shirts per order and may contain a maximum of 30% Vintage (pre-2010) shirts.

This means that a 50-shirt Handpick Wholesale order may contain a maximum of 15 Vintage shirts, with the remaining 35 or more shirts being Modern (2010 onwards).

The Buyer is responsible for ensuring that their selection complies with the maximum Vintage allocation before placing an order.

The Handpick wholesale discount is offered expressly on the basis that these requirements are followed.

If an order exceeds the permitted Vintage allocation, we reserve the right to cancel and refund the order or, at our discretion, contact the Buyer to allow the selection to be amended.

A wholesale discount code is not valid for an order which does not comply with the applicable Handpick requirements.

Deliberate or repeated attempts to circumvent the 50-shirt order limit or maximum Vintage allocation, including splitting or combining purchases, using multiple accounts, or using associated businesses or individuals for the purpose of avoiding these restrictions, may result in withdrawal of access to our Handpick service and/or refusal of future wholesale orders.

9. STOCK COMPOSITION & AVAILABILITY

Football shirts are inherently variable, limited-stock products and our inventory changes continuously.

Unless expressly included within the description of a particular bundle or agreed by us in writing, we do not guarantee:

• specific clubs, teams or countries;
• specific manufacturers;
• particular seasons or competitions;
• particular players or namesets;
• particular sizes;
• a particular Vintage/Modern ratio other than an expressly stated maximum or minimum;
• specific resale values or profit margins; or
• that the composition of a previous wholesale order can be replicated.

Where we invite Buyers to provide preferences, these will be treated as preferences rather than guaranteed requirements unless we expressly confirm otherwise in writing.

The composition of wholesale bundles may vary according to stock availability.

10. NAMESETS, PRINTING, PATCHES & CUSTOMISATION

Football shirts supplied by Retro Kick Off may feature original, official, replacement, reproduction, aftermarket or subsequently applied namesets, numbers, patches or other applications.

Unless expressly stated otherwise in the individual product listing, no representation or guarantee is made as to the originality, age or source of any nameset, number, patch or other subsequently applied printing or customisation.

Our VAR Check authentication relates to the authenticity of the underlying football shirt. The presence of replacement, reproduction, aftermarket or subsequently applied printing does not, by itself, affect the authentication of the underlying garment.

Normal age-related deterioration to namesets, numbers, sponsors, badges, patches and other applications may occur and should be considered in the context of the age and previous use of the garment.

Nothing in this section affects the Buyer's rights where an item has been materially or significantly misdescribed.

11. WHOLESALE PRICING & DISCOUNT CODES

Wholesale prices and discount rates are subject to the terms of the relevant wholesale service.

Handpick wholesale discount codes are issued for use in accordance with these Wholesale Terms and any additional requirements communicated when access is provided.

Wholesale codes may not be published, transferred, sold or shared with unauthorised third parties without our permission.

We reserve the right to amend or withdraw wholesale pricing, discounts, bundle compositions, Vintage allocations and eligibility requirements for future orders.

Any such change will not retrospectively alter an order already accepted by us.

12. PAYMENT & ACCEPTANCE OF ORDERS

Payment must be made using one of the payment methods offered by us or otherwise agreed in writing.

Unless otherwise requested or agreed, payment will be made securely via a private payment link provided through our website.

Receipt of payment or an automated order confirmation does not necessarily constitute final acceptance of a wholesale order.

Wholesale orders may be reviewed before fulfilment to ensure compliance with these Wholesale Terms, including any applicable quantity, stock-mix or Vintage requirements.

If we cancel an order before fulfilment because it does not comply with our wholesale requirements, amounts paid in respect of the cancelled goods will be refunded using the original payment method.

We reserve the right to refuse an order before acceptance where there has been an obvious pricing error, stock error, technical error or other genuine mistake affecting the order.

13. CANCELLATIONS

Wholesale purchases are business-to-business transactions and are not offered with a consumer cancellation or cooling-off period.

Once a wholesale order has entered picking, preparation or fulfilment, Buyer-requested cancellations may not be accepted.

Where we agree to a cancellation requested by the Buyer, we reserve the right, where legally permitted, to deduct reasonable costs already incurred in preparing or processing the order.

Nothing in this section affects any right or remedy which cannot lawfully be excluded.

14. DELIVERY

Delivery timescales provided by Retro Kick Off are estimates unless we expressly agree otherwise in writing.

The Buyer is responsible for providing complete and accurate delivery information.

We are not responsible for delays caused by circumstances outside our reasonable control, including carrier delays, customs procedures, import inspections, adverse weather, industrial action or inaccurate information supplied by the Buyer.

Buyers should inspect wholesale deliveries promptly upon receipt.

Any apparent shortage, incorrect item, transit damage or other material issue should be reported to us as soon as reasonably practicable, together with photographs and other supporting information where appropriate, so that we can investigate.

15. INTERNATIONAL ORDERS, CUSTOMS & IMPORT CHARGES

For wholesale orders delivered outside the United Kingdom, the Buyer is responsible for any applicable import VAT, customs duties, clearance charges, brokerage fees or other charges imposed by the destination country unless we expressly agree otherwise in writing.

The Buyer is responsible for ensuring that the goods may lawfully be imported, possessed and resold within their jurisdiction.

Customs and import procedures are outside our control and may result in additional delivery time.

Refusal of Customs Charges or Delivery

The Buyer is responsible for paying all applicable customs duties, import taxes and clearance charges required for delivery of their order.

Failure or refusal to pay such charges, failure to complete required customs procedures, or refusal to accept delivery does not constitute cancellation of the order and does not automatically entitle the Buyer to a refund.

Where an order is returned to Retro Kick Off because the Buyer has refused delivery, failed to pay applicable import or customs charges, failed to complete customs clearance, or otherwise failed to take delivery, the Buyer will be responsible, to the extent permitted by law, for reasonable costs incurred as a result.

Where the goods are successfully returned to us, any refund which we agree or are required to provide may be reduced by reasonable costs actually incurred in connection with the failed delivery and return, including original delivery charges, return shipping, carrier charges, customs charges, import or export fees and other directly related costs.

Any refund will be considered only after the goods have been returned to and received by Retro Kick Off and their condition has been checked.

If the goods are not returned to us following the Buyer's refusal or failure to take delivery, no refund will be due except where otherwise required by law.

Refusing delivery or failing to pay customs or import charges as a means of attempting to cancel a wholesale order will be treated as a failure to accept delivery and not as an agreed cancellation by Retro Kick Off.

Nothing in this section limits any rights or remedies which cannot lawfully be excluded.

16. RETURNS, REFUNDS & WHOLESALE STOCK

All wholesale purchases are business-to-business transactions for commercial resale. Except where otherwise required by law or expressly agreed by Retro Kick Off, wholesale goods are not supplied on a sale-or-return basis and we do not accept returns or provide refunds simply because a Buyer changes their mind, no longer requires the stock, is dissatisfied with its resale potential or disagrees with a reasonable assessment of condition.

A return, refund or other appropriate remedy will only normally be considered where:

• an item is materially or significantly not as described;
• an item supplied is materially different from the item ordered;
• an item has a significant defect or damage which was not disclosed or reasonably reflected in its description, photographs or condition grade; or
• following investigation, the underlying football shirt is reasonably determined to be counterfeit or otherwise not authentic.

Condition & Light Wear

The Buyer acknowledges that the majority of football shirts supplied by Retro Kick Off are previously worn garments and that signs of age and previous use are inherent in this type of stock.

Grade A stock is defined by Retro Kick Off as 8/10 or above and does not mean new, mint, unworn or completely free from imperfections.

Reasonable signs of light wear may include, but are not limited to:

• light bobbling or pilling;
• small or minor pulls;
• light fabric wear;
• minor marks;
• minor age-related wear to badges, sponsors, namesets, numbers or other applications; and
• other minor cosmetic imperfections consistent with the age and previous use of the garment.

The presence of reasonable light wear of this nature will not, by itself, constitute a defect, material misdescription or grounds for a return or refund where the item's overall condition remains consistent with the grade under which it was supplied.

A subjective difference of opinion between the Buyer and Retro Kick Off regarding what constitutes light wear, minor wear or the precise numerical condition rating of an item will not, by itself, constitute grounds for return or refund.

For Handpick Wholesale orders, Buyers are additionally responsible for reviewing the individual product photographs, description, condition rating and any disclosed defects before purchase.

For Introductory Wholesale Bundles, individual garments will naturally vary in age and condition within the applicable advertised grade.

For WhatsApp Wholesale Bundles, Buyers acknowledge that the bundles are not necessarily supplied exclusively as Grade A stock and that individual garments may show varying levels of previous wear. The applicable condition standard is the condition, description, photographs and other information provided for the particular bundle at the time it is offered.

The presence of wear or imperfections which are consistent with the information provided for a WhatsApp Wholesale Bundle will not, by itself, constitute a defect or material misdescription.

Authenticity Claims

If a Buyer believes an item supplied by Retro Kick Off is counterfeit, they must contact us promptly and provide clear photographs and details explaining the basis of the authenticity concern.

Retro Kick Off will investigate the item using our VAR Check authentication process and may request that the item be returned for physical inspection.

Where an item is reasonably determined to be counterfeit or otherwise not authentic, Retro Kick Off will provide an appropriate remedy, which may include a refund or replacement where available.

Reporting an Issue

Any Buyer requesting a return, refund or other remedy must contact Retro Kick Off promptly after discovering the issue and provide the order details, photographs of the item and a clear explanation of the alleged problem.

We reserve the right to request additional photographs or the return of the item for inspection before determining the appropriate remedy.

Nothing in this section excludes or restricts any liability, right or remedy which cannot lawfully be excluded or restricted.

17. RETAIL PRICING & HANDPICK DISCOUNTS

Items available through our Handpick Wholesale service are selected from Retro Kick Off's existing retail inventory.

The price displayed for each item represents Retro Kick Off's retail price for that individual shirt.

How We Calculate Our Retail Prices

We take considerable care in researching and pricing each individual item.

Our retail prices are calculated using our specialist in-house pricing software, supported by market research, comparable sales data and our experience within the football shirt market.

Our pricing process may take into account factors including the team, season, manufacturer, age, rarity, size, condition, player nameset, shirt specification, current market demand, desirability, comparable listings and available historic sales data.

As football shirts are collectible and often unique or limited in availability, establishing a single definitive market value is not always possible. Our retail prices therefore represent Retro Kick Off's carefully researched assessment of an appropriate selling price for each individual item at the time it is priced.

Handpick Wholesale Pricing

Handpick Wholesale discounts are applied to the existing Retro Kick Off retail price displayed for each eligible item.

Our retail prices are determined independently as part of our normal retail pricing process and are not artificially increased for the purpose of applying or advertising a wholesale discount.

The discounted Handpick price represents the price at which Retro Kick Off is prepared to supply that individual item under our wholesale programme.

Resale Performance

Our retail prices represent our own carefully researched assessment of an item's retail value and should not be interpreted as a guarantee that another retailer will achieve the same selling price.

Buyers remain responsible for determining their own resale prices and assessing whether individual items are commercially suitable for their business.

Actual resale prices and sales performance may vary according to marketplace, geographical market, demand, timing, presentation, seller reputation and other market conditions.

Retro Kick Off does not guarantee any particular resale price, profit, profit margin, return on investment or speed of sale.

18. ERRORS & GENUINE MISTAKES

We take reasonable care when authenticating, grading, describing, selecting, pricing and preparing wholesale stock.

If a material error has occurred – for example, an incorrect item has been supplied or an item materially differs from its description or the agreed order – the Buyer should contact us promptly so that we can investigate and, where appropriate, provide a reasonable remedy.

19. ABUSE OF THE WHOLESALE SERVICE

We reserve the right to restrict, suspend or refuse future wholesale service where we have reasonable grounds to believe that a Buyer has:

• deliberately breached wholesale stock-mix requirements;
• misused, published or distributed a private wholesale discount code;
• attempted to circumvent the MOQ, Vintage allocation or other purchasing restrictions;
• provided materially false or misleading information;
• engaged in fraudulent activity; or
• repeatedly or materially abused the wholesale ordering, cancellation or returns process.

Any restriction on future access will not affect rights or obligations relating to an order already accepted by us.

20. LIMITATION OF LIABILITY

Nothing in these Wholesale Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

Subject to the above and to the fullest extent permitted by law, Retro Kick Off will not be liable for indirect or consequential business losses arising from the purchase or resale of wholesale stock, including loss of anticipated profits, loss of business opportunity, loss of goodwill or failure to achieve an expected resale price.

Nothing in these Wholesale Terms is intended to exclude or restrict liability where such exclusion or restriction would be prohibited by applicable law.

21. GOVERNING LAW

These Wholesale Terms and any dispute or claim arising from them shall be governed by the laws of England and Wales.

The courts of England and Wales shall have jurisdiction in relation to disputes arising from wholesale orders, subject to any mandatory legal rights or jurisdictional rules which apply.

22. CHANGES TO THESE TERMS

We may update these Wholesale Terms from time to time.

The version applicable to an order will be the version in force when that order is placed.

By placing a wholesale order, the Buyer confirms that they have read and accepted the Wholesale Terms applicable to that order.
